Risk Disclosures
Risk disclosures explain the actual failure modes of the program, not only the technical stack.
Risk categories worth publishing
- Issuer or obligor performance risk.
- Market and liquidity risk, including lack of any guaranteed secondary-market support.
- Operational failure risk across servicing, notices, and post-issuance record changes.
- Third-party role risk where registrars, paying agents, banks, custodians, or venues are appointed.
- Legal, regulatory, or enforceability change risk.
- No-insurance, no-government-guarantee, or similar boundary where applicable.
Plain language wins
The risk disclosure states what can fail, who owns the relevant role, whether market support is guaranteed, and what the holder can expect if the program does not perform.
